QI Dynamics Terms and Conditions of Sale
(Effective November 2025)
1. General
These Terms and Conditions (“Terms”) govern all quotations, purchase orders, order acknowledgments, and sales of products and services (“Products”) by QI Dynamics (“QI Dynamics”, “we”, “us”, “our”) to the buyer (“Buyer”, “you”). By placing an order with QI Dynamics, you agree to be bound by these Terms. No additional or different terms contained in Buyer’s purchase order or other documents shall apply unless expressly accepted in writing by an authorized representative of QI Dynamics.
2. Prices and Payment
- Prices are quoted in USD, EXW our facility (Incoterms 2020), and exclude taxes, duties, shipping, insurance, and special packaging.
- Payment terms: Net 30 days from invoice date for approved credit accounts; otherwise full payment is required prior to shipment.
- Overdue invoices accrue interest at 1.5 % per month or the maximum rate permitted by law.
- Prices are subject to change without notice until QI Dynamics issues an order acknowledgment.
3. Orders and Acceptance
- All orders are subject to acceptance and credit approval by QI Dynamics.
- Acknowledged delivery dates are estimates only; QI Dynamics shall not be liable for delays.
- Minimum order value: USD $95 (excluding freight and taxes).
4. Shipment and Risk of Loss
- Unless otherwise agreed in writing, delivery term is EXW (Ex Works) QI Dynamics’ shipping point.
- Title and risk of loss pass to Buyer when the Products are made available to the carrier.
- Buyer is responsible for freight, insurance, customs duties, and all import/export charges.
5. 30-Day Satisfaction Guarantee and Returns
(Full Return & Warranty Policy is published separately at www.qi-dynamics.com and is incorporated herein by reference.)
- Returns accepted within 30 days of delivery.
- 0 % restocking fee for defective/DOA items or exchanges/upgrades.
- 15 % restocking fee applies only to non-defective, non-exchanged returns.
- Prepaid return shipping label provided for confirmed defects or orders ≥ $695 USD.
- All returns require a valid RMA obtained through our Contact portal.
- Refund or exchange credit issued within 7 business days of receipt and inspection.
6. Warranty
- QI Dynamics vibration sensors are warranted against defects in materials and workmanship for 2 years from date of delivery.
- Exclusive remedy, at QI Dynamics’ option: repair, replacement, or full refund.
- Advance replacement available for critical applications (contact support).
- Warranty is void in cases of misuse, improper installation, modification, or damage not caused by QI Dynamics.
- NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE PROVIDED.
7. Limitation of Liability
IN NO EVENT SHALL QI DYNAMICS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA), EVEN IF ADVISED OF THE POSSIBILITY. QI Dynamics’ total liability for any claim shall not exceed the purchase price of the Product(s) giving rise to the claim.
8. Intellectual Property
Buyer receives no license or rights under any QI Dynamics patents, trademarks, copyrights, or trade secrets except the limited right to use the Products as delivered.
9. Export Compliance
Buyer shall comply with all applicable U.S. and international export and re-export control laws and regulations.
10. Force Majeure
QI Dynamics shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, pandemic, labor disputes, or supply-chain interruptions.
11. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Products shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
12. Miscellaneous
- Waiver of any provision must be in writing and signed by QI Dynamics.
- If any provision is held invalid, the remaining provisions remain in full force.
- These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.
